Terms of Service

1. Scope and acceptance

These Terms govern access to Nexaltra websites, software and services, including Calisy and any other product expressly offered under these Terms. Nexaltra is the commercial brand responsible for operating these services. Products described as in development, beta or coming soon are not part of a paid service until they are expressly made available.

If you use a service on behalf of an organization, you confirm that you are authorized to accept these Terms for that organization. The organization is responsible for its users, assigned roles and use of the service.

2. Nexaltra services

Nexaltra develops practical software for technical and industrial operations. Calisy is a SaaS platform for managing instruments, calibration dates, certificates, service history, alerts, users and related operational records. Product capabilities, limits and availability depend on the selected plan and the product documentation in force.

Unless expressly agreed otherwise, the service is provided remotely and no transfer of source code, infrastructure or ownership rights is included.

3. Accounts and authorized users

  • Account information must be accurate and kept up to date.
  • Credentials are personal and must not be shared.
  • Organization administrators are responsible for inviting, assigning roles to, deactivating and removing access for their users.
  • Users must promptly notify Nexaltra of suspected unauthorized access or a security incident affecting their account.

4. Acceptable use

You may not use the services to:

  • Break applicable law or infringe third-party rights.
  • Upload malicious code or attempt to disrupt, overload or circumvent security controls.
  • Access another customer's information or use credentials without authorization.
  • Reverse engineer or reproduce protected elements except where mandatory law expressly permits it.
  • Submit information you are not authorized to process.

5. Customer data and operational responsibility

The customer retains ownership of the data and files it uploads to the service. The customer is responsible for the accuracy, legality and technical validity of instrument records, calibration results, certificates and other operational information.

Nexaltra provides administrative and traceability tools. It is not a calibration laboratory, certification body or substitute for the customer's technical, quality, safety or regulatory controls. Alerts and calculated dates must be reviewed by authorized personnel before operational decisions are made.

6. Plans, trials and billing

Paid features are provided according to the plan, billing cycle and limits selected at checkout. Calisy may offer a 30-day Professional trial without a payment card. Unless a paid subscription is activated, trial access ends when the trial expires.

Online billing may be processed through an authorized payment platform. The checkout, invoice, taxes, payment method and payment processing may also be subject to the conditions shown during purchase. Nexaltra may restrict access when a subscription expires, remains unpaid or is cancelled, without deleting customer data immediately.

7. Cancellation and refunds

Customers may cancel renewal at any time. Cancellation prevents future renewals but does not normally generate a refund for the unused portion of a monthly or annual period already paid, except where required by applicable law or described in our Refund and Cancellation Policy.

If Nexaltra permanently discontinues a paid service before the end of an annual prepaid period, affected customers will receive a proportional refund for the unused portion, subject to mandatory law and the applicable payment process.

8. Data portability and service termination

Customers may use the export tools available in each product. Calisy also provides organized organization backups according to plan limits and allows one final backup when cancellation is registered. Generated backup files are available for a limited period, currently seven days.

After customer cancellation or the end of access, Calisy currently provides an approximately 60-day recovery window before data becomes eligible for permanent deletion, unless a different period is required by law, security needs or an agreed contract.

If Nexaltra decides to permanently discontinue a generally available service, it will aim to provide at least 90 days' prior notice when reasonably possible, maintain essential communications and provide a reasonable opportunity to export customer data.

9. Availability, changes and support

Nexaltra works to keep its services secure and available, but does not guarantee uninterrupted or error-free operation. Maintenance, security events, provider incidents or events beyond reasonable control may cause temporary interruptions. Material changes that affect paid access or customer data will be communicated through appropriate service channels.

10. Intellectual property

Nexaltra and its licensors retain all rights in the software, interfaces, brands, documentation and technical materials. Customer data remains the customer's property. Feedback may be used to improve the services without disclosing confidential customer information.

11. Confidentiality and security

Each party must protect confidential information received from the other and use it only to provide or use the services. Nexaltra applies reasonable technical and organizational safeguards, but no online system can guarantee absolute security.

12. Limitation of liability

To the maximum extent permitted by applicable law, Nexaltra is not responsible for indirect or consequential loss, lost profits, failed audits or operational decisions arising from inaccurate customer data, misuse of the service or events outside Nexaltra's reasonable control. Nothing in these Terms excludes liability that cannot legally be excluded.

13. Essential communications

Nexaltra may send communications required to operate the service, including security, account recovery, billing, subscription, material service, legal and discontinuation notices. These messages are not marketing and cannot be disabled while the account or contractual relationship remains active. Promotional communications require separate consent and may be unsubscribed from at any time.

14. Changes to these Terms

Nexaltra may update these Terms to reflect product, legal or operational changes. Material updates will be communicated in advance when required, and products may request renewed acceptance before continued use.

15. Applicable law and contact

These Terms are governed by the mandatory laws applicable to the contracting relationship and by the legal and billing information shown at checkout or on the corresponding invoice. Mandatory consumer or data-protection rights remain unaffected.
